License. You may access this Web site in accordance with the provisions of this Agreement and the Terms and Conditions of Use as posted on this Website and modified from time to time by SS&C in its sole discretion (the "Terms and Conditions of Use"), and you acquire no rights or licenses in or to the data, information, text, graphics and other content and material herein (the "Service") other than the limited right to use the Service in accordance with this Agreement and the Terms and Conditions of Use.
Intellectual Property. All right, title and interest to the Service and all Intellectual Property Rights (as defined below) of SS&C Technologies, Inc. (together with its affiliates ("SS&C"), and all improvements, modifications, enhancements and extensions thereto, will at all times remain the exclusive property of SS&C. You agree to reproduce any and all copyright, trade and service mark or proprietary rights notices of SS&C and attribute all SS&C names, trade and service marks to SS&C in your use of such names, trade and/or service marks. You acknowledge and agree that the Service and the contents constitute trade secrets and proprietary property of SS&C. "Intellectual Property Rights" means all worldwide right, title and interest in, to and under any and all 1) United States or foreign patents and patent pending applications therefore, 2) copyrights, 3) trade secrets, know-how, processes, methods, engineering data and technical information and 4) trade and service marks.
Limited Access. In order to access the Service, a limited number of User IDs and corresponding Passwords have been provided to you. Each User ID and Password is personal to the individual recipient and may not be shared or transferred. You shall be responsible for all use of the Service made by anyone using the User ID and Password provided to you by SS&C. Acceptance of these terms is binding as to the individual user on behalf of itself and, in the event such user is accessing data regarding an institutional investor, on behalf of its employer and he/she hereby represents that he/she has the authority to so bind his/her employer.
Restrictions on Use. YOU MAY USE THE SERVICE AND THE INFORMATION CONTAINED THEREIN SOLELY FOR YOUR INTERNAL USE. YOU MAY NOT USE THE SERVICE FOR ANY ILLEGAL PURPOSE OR IN ANY MANNER INCONSISTENT WITH THIS AGREEMENT. YOU AGREE TO USE THE SERVICE SOLELY FOR YOUR OWN USE AND BENEFIT, IN ACCORDANCE WITH THIS AGREEMENT, AND NOT FOR RESALE OR OTHER TRANSFER OR DISPOSITION TO, OR USE BY OR FOR THE BENEFIT OF, ANY OTHER PERSON OR ENTITY. YOU AGREE NOT TO USE, TRANSFER, DISTRIBUTE, OR DISPOSE OF ANY INFORMATION CONTAINED IN THE SERVICE IN ANY MANNER THAT COULD COMPETE WITH THE BUSINESS OF SS&C AND EXCEPT AS SPECIFICALLY PERMITTED HEREUNDER. YOU MAY NOT COPY, REPRODUCE, RECOMPILE, DECOMPILE, DISASSEMBLE, REVERSE ENGINEER, DISTRIBUTE, PUBLISH, DISPLAY, PERFORM, MODIFY, UPLOAD TO, CREATE DERIVATIVE WORKS FROM, TRANSMIT, OR IN ANY WAY EXPLOIT ANY PART OF THE SERVICE. THE ANALYSIS AND PRESENTATION INCLUDED IN THE SERVICE MAY NOT BE RECIRCULATED, REDISTRIBUTED, OR PUBLISHED BY YOU WITHOUT SS&C' S PRIOR WRITTEN CONSENT. Except as required or requested by law, regulation or legal process, you shall, and cause your employees to, treat non-public information pertaining to the business affairs of SS&C, including but not limited to SS&C's software capabilities, technical, technological and operational information, know-how, processes, methods and marketing and business plans, as confidential and shall not disclose such information to any persons or entities.
Exclusion of Warranties, Limitations of Liability and Indemnity. YOU ACKNOWLEDGE THAT THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITH NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, NONINFRINGEMENT, TITLE OR FITNESS FOR ANY PARTICULAR PURPOSE OR USE. YOU AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
IN NO EVENT WILL SS&C BE LIABLE FOR ANY LOSS OF PROFITS, LOSS OF USE, DIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, REGARDLESS OF WHETHER SS&C HAS ADVANCE NOTICE OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL SS&C'S LIABILITY TO YOU FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION (WHETHER IN TORT OR CONTRACT, INCLUDING BUT NOT LIMITED TO, NEGLIGENCE) EXCEED THE AMOUNT PAID TO SS&C AND ITS AFFILIATES BY YOU FOR ACCESSING THE SERVICE.
You agree to indemnify and hold SS&C, its officers and employees, partners, affiliates, subsidiaries, successors and assigns, data providers and third party agents harmless from any liabilities, costs and expenses (including reasonable attorney's fees) incurred by SS&C to any third party arising from or in connection with your use of the Service or violation of these Terms and Conditions.
Miscellaneous.A. These Terms and Conditions shall be governed by and construed in accordance with New York law, without giving effect to conflict of law principles. B. If any provision of these Terms and Conditions is or becomes invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions contained herein shall not be affected thereby and shall remain enforceable to the fullest extent permitted by law.
SS&C reserves the right to amend, remove or add to these Terms and Conditions at any time. Any terms and conditions proposed by you which are in addition to or which conflict with these Terms and Conditions of service are expressly rejected by SS&C and shall be of no force or effect.
